TERMS AND CONDITIONS OF MENA VPN

Please read these Terms and Conditions (“Terms”) carefully before using our Service.

1 - INTERPRETATION AND DEFINITIONS

1.1 Interpretation**

The words whose initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

1.2 Definitions

• “Application” means the software program provided by the Company, downloaded by You on any electronic device, named MenaVPN.
• “Application Store” means the digital distribution service operated by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
• “Affiliate” means an entity that controls, is controlled by or is under common control with a party; “control” means ownership of 50 % or more of the shares or voting securities.
• “Account” means a unique account created for You to access our Service or parts of our Service.
• “Country” refers to the Netherlands.
• “Company” (also “We”, “Us”, “Our”) refers to MenaVPN Holding B.V., Aert van Nesstraat, 3012 CA Rotterdam, the Netherlands.
• “Device” means any device that can access the Service such as a computer, cellphone (mobile phone) or tablet.
• “Free Trial” refers to a limited period that may be free when purchasing a Subscription.
• “In‑app Purchase” refers to the purchase of a product, item, service or Subscription made through the Application.
• “Service” refers to the Application.
• “Subscription” refers to the services or access to the Service offered on a subscription basis by the Company to You.
• “Third‑party Social Media Service” means any services or content provided by a third party that may be displayed by the Service.
• “You” means the individual or legal entity accessing or using the Service.

2 - ACKNOWLEDGMENT

These Terms govern the use of this Service and form the agreement between You and the Company.

• Access to and use of the Service is conditioned on Your acceptance of these Terms.
• By using the Service You agree to be bound by the Terms; if You disagree, you must not access the Service.
• You represent that you are over 18 years old.
• Your use of the Service is also governed by our Privacy Policy.

3 - SUBSCRIPTIONS

3.1 Subscription Period

Certain parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring basis (daily / weekly / monthly / annually) depending on the plan you select. Subscriptions renew automatically unless cancelled.

3.2 Subscription Cancellations

You may cancel renewal through Your Account settings or by contacting Us. No refunds are given for the current period. If purchased via an Application Store, cancellation must follow that store’s terms.

3.3 Billing

You must provide accurate billing information. If automatic billing fails, we may issue an electronic invoice requiring manual payment.

3.4 Fee Changes

We may modify Subscription fees. Changes become effective at the end of the current period. We will give reasonable prior notice.

3.5 Refunds

Except when required by law, paid fees are non‑refundable. Refund requests may be considered at our sole discretion. For In‑app Purchases, the Application Store’s refund policy applies.

3.6 Free Trial

We may offer a Free Trial. If billing details are provided, You will not be charged until the trial ends. We may modify or cancel the Free Trial at any time.

4 - IN‑APP PURCHASES

• In‑app Purchases can only be consumed within the Application and cannot be cancelled once the download starts.
• Faulty In‑app Purchases will be replaced, repaired or refunded via the Application Store.
• All billing and transactions are handled by the Application Store.

5 - USER ACCOUNTS

• You must provide accurate, complete, current information.
• You are responsible for safeguarding your password and any activities under it.
• Notify Us immediately of any security breach.
• Usernames must not infringe third‑party rights or be offensive.

6 - PROHIBITED ACTIVITIES

Users are strictly prohibited from engaging in illegal activities—including but not limited to BitTorrent piracy, hacking, child‑abuse material or spam—or any activity that violates applicable local law (see Section 8).
6A - LEGAL COMPLIANCE AND USER RESPONSIBILITY

6A.1 Obligation to Comply with Local Laws

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in the country or jurisdiction from which you access or use the Service. The Company does not provide legal advice and makes no representations regarding the legality of VPN usage in any specific location.

6A.2 Prohibited Use and Legal Disclaimers

Use of the Service for any unlawful purpose—including, but not limited to, bypassing government-imposed restrictions, accessing prohibited or geo-restricted content, or conducting activities in violation of national laws—is strictly forbidden. This applies regardless of whether such conduct is technically feasible through the VPN.

6A.3 Disclaimer of Liability

MenaVPN Holding B.V. disclaims all responsibility for any outcomes arising from the illegal or unauthorized use of its Service. You acknowledge that such actions are solely Your responsibility, and the Company shall not be liable for any civil, criminal, administrative, or other legal consequences that may result.

6A.4 Indemnification

You agree to defend, indemnify and hold harmless the Company, its officers, directors, employees and affiliates from and against any claims, actions, liabilities, losses, penalties, fines, or costs (including reasonable legal fees) resulting from or arising out of Your breach of applicable law or these Terms through use of the Service.

7. LINKS TO OTHER WEBSITES
   We have no control over third‑party sites and accept no responsibility for their content or policies. Review third‑party terms before using those sites.

8. LOCAL‑LAW COMPLIANCE – UAE‑SPECIFIC RULES
   8.1 User Responsibility
   You are solely responsible for determining whether your use of the Service is lawful in every jurisdiction where you access it.

8.2 United Arab Emirates (UAE) – Legal Notice
Residents, visitors or entities in the UAE must comply with Federal Decree‑Law No. 34 of 2021 on Countering Rumours and Cyber‑crimes. Masking or manipulating an IP address with the intention of committing or concealing an offence is punishable by imprisonment and/or fines from AED 500,000 to AED 2,000,000.

8.3 Prohibited UAE Uses
a) Circumventing or cloaking an IP address to commit, conceal or facilitate an offence under UAE law;
b) Accessing, publishing or distributing content illegal under UAE law or TDRA‑designated “Prohibited Content Categories”;
c) Violating any UAE authority directive, order or guidance.

8.4 Monitoring & Enforcement
Where we have a good‑faith belief—based on credible evidence, legal notice or technical indicators—that your Account is breaching UAE law, we may, without prior notice, suspend or permanently terminate the Account, block access from UAE IP addresses and/or refuse any refund. Nothing herein obliges us to monitor user activity.

8.5 No Liability
MenaVPN Holding B.V. is not liable for any fines, penalties, imprisonment, losses or damages arising from your unlawful VPN use in the UAE.

8.6 Indemnity
You agree to defend, indemnify and hold harmless the Company, its officers, directors, employees and affiliates from any claim, loss, liability, cost or expense (including legal fees) arising out of your UAE‑based breach of this Section 8.

8.7 Severability
If any portion of Section 8 is held unenforceable, the remainder remains in full force to the maximum extent permitted by law.

9. TERMINATION

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason—including any breach of these Terms or Section 8. Upon termination, Your right to use the Service ceases immediately.

10. LIMITATION OF LIABILITY

The Company’s entire liability shall not exceed the amount actually paid by You through the Service or USD 100 if no purchases were made. To the maximum extent permitted by law, the Company shall not be liable for special, incidental, indirect or consequential damages. Some jurisdictions do not allow certain exclusions; in such cases liability is limited to the greatest extent permitted.

11. “AS IS” AND “AS AVAILABLE” DISCLAIMER

The Service is provided “AS IS” and “AS AVAILABLE” without warranty of any kind. The Company disclaims all warranties, express or implied. We do not guarantee that the Service will meet Your requirements, be error‑free, or that defects will be corrected.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the Netherlands. If You have a dispute, You agree to try to resolve it informally by contacting the Company first.

13. FOR EUROPEAN UNION (EU) USERS

EU consumers benefit from any mandatory provisions of the law of the country of residence.

14. UNITED STATES FEDERAL GOVERNMENT END‑USE PROVISIONS

The Service is a “Commercial Item” as defined at 48 C.F.R. § 2.101.

15. UNITED STATES LEGAL COMPLIANCE

You represent that (i) You are not located in a country subject to U.S. embargo or designated “terrorist supporting,” and (ii) You are not on any U.S. government prohibited or restricted parties list.

16. SEVERABILITY AND WAIVER

If any provision is held unenforceable or invalid, it will be modified to accomplish its objective to the greatest extent possible, and the remaining provisions remain in effect. Failure to exercise any right shall not constitute a waiver.

17. TRANSLATION INTERPRETATION

If we have provided a translation of these Terms, the original English text shall prevail in case of dispute.

18. CHANGES TO THESE TERMS

We may modify or replace these Terms at any time. For material changes, we will provide at least 30 days’ notice before new terms take effect. Continued use of the Service after revisions constitutes acceptance.
